By accessing or using any SoraMinds Service, you represent and warrant that:

• You are at least 13 years of age, or if accessing on behalf of a business entity, you have authority to bind that entity to these Terms.
• You will provide accurate, current, and complete information during any registration or onboarding process.
• You will maintain the confidentiality of your account credentials and are responsible for all activities under your account.
• You will not use the Services in any manner that violates applicable local, state, national, or international law or regulation.
• You will not attempt to reverse-engineer, decompile, disassemble, or derive source code from any SoraMinds Platform, Solution, SoraCore, or SoraGuru system.
• You will not use automated tools, bots, or scripts to access, scrape, or interact with the Services without prior written consent.
• Commercial or promotional use of any SoraMinds Service requires prior written consent from SoraMinds.

SoraMinds reserves the right to modify, suspend, or discontinue any Service, Platform, or Solution at any time without prior notice or liability.

All intellectual property in and to the Services is owned exclusively by SoraMinds LLC or its licensors, including but not limited to:

• The SoraMinds brand, logo, and the typographic signature system (the use of “!” in place of lowercase “l” in product names, including but not limited to Sora!ift, Sora!ogic, Sora!yric, Sora!iva, and Sora!oop).
• All Platform names: SoraAnalyst, SoraMobility, SoraScholar, SoraRobolink, SoraEcoXmall (and their typographic variants).
• All Solution names: SoraLogic, SoraLift, SoraLyric, SoraLiva, SoraLoop.
• The standalone brand EcoXmall and all associated domain names and trademarks.
• SoraCore — the underlying AI engine, its architecture, algorithms, training data, and model weights.
• SoraGuru — the avatar intelligence system, persona frameworks, dialogue systems, and interaction models.
• All software, APIs, user interfaces, documentation, and technical infrastructure underlying the Services.

You retain ownership of any content you create and submit through the Services. By submitting content, you grant SoraMinds a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, distribute, and display such content solely for the purpose of operating, improving, and promoting the Services. This licence terminates when you delete your content or account, subject to any retention obligations required by law.

You may not use any SoraMinds name, logo, trademark, or typographic signature in any manner that:

• Implies affiliation with, endorsement by, or sponsorship from SoraMinds without prior written consent.
• Creates confusion with any SoraMinds Platform, Solution, or brand in any market.
• Infringes SoraMinds’ intellectual property rights or those of its licensors.

SoraMinds provides AI-powered services through SoraCore and SoraGuru across all Platforms. By using any avatar-enabled feature, you acknowledge and agree that:

• SoraGuru’s outputs are generated by artificial intelligence and are provided for guidance, information and assistance purposes only. They do not constitute professional advice — medical, legal, financial, or otherwise.
• AI-generated responses may contain errors, omissions, or inaccuracies. You are responsible for independently verifying any information before acting on it.
• SoraMinds does not guarantee that SoraGuru’s outputs will be accurate, complete, timely, or suitable for any specific purpose.
• You will not attempt to manipulate, deceive, or misuse SoraGuru or SoraCore systems, including through adversarial prompting, jailbreaking, or injection attacks.
• SoraMinds may use anonymised interaction data to improve SoraCore and SoraGuru, subject to our Privacy Policy.
• SoraGuru’s persona, tone, and responses are configured differently per Platform (data interpreter, mobility guide, teacher, companion, service assistant) and may not be replicated, imitated, or used outside the licensed Service without prior written consent.

SoraAnalyst and its solution SoraLogic are designed to deliver AI-powered data intelligence, predictive analytics, and safety alerting across industries including smart cities, school zones, and enterprise operations. By using these Services, you agree that:

• SoraLogic’s safety alerts, traffic analysis, and risk predictions are generated by AI algorithms and are advisory in nature only. They do not replace the judgement of qualified traffic engineers, city planners, school administrators, or safety professionals.
• SoraMinds does not guarantee the accuracy, completeness, or timeliness of any SoraAnalyst or SoraLogic output. You are responsible for independently verifying all data intelligence outputs before acting on them.
• Real-time data processing services depend on the availability and accuracy of third-party data sources and infrastructure. SoraMinds accepts no liability for losses arising from data feed interruptions, latency, or inaccuracies.
• Business intelligence dashboards and predictive models produced by SoraAnalyst do not constitute financial, legal, or regulatory advice. Decisions based on such outputs are made at your sole risk.
• You are responsible for ensuring your deployment of SoraAnalyst and SoraLogic complies with all applicable data protection and privacy laws, including GDPR, CCPA, and any sector-specific regulations in your jurisdiction.
• Insight data and analytics outputs generated through SoraAnalyst remain subject to SoraMinds’ intellectual property rights and may not be redistributed or resold without prior written consent.

SoraMobility and its solution SoraLift are designed for connected vehicle, software-defined vehicle, infrastructure, and traffic management environments. By using these Services, you agree that:

• SoraLift is a software platform built with Rust for functional safety and cybersecurity. It is not a certified safety-critical system under any automotive functional safety standard (e.g., ISO 26262, SOTIF) unless explicitly confirmed in a separate written certification agreement with SoraMinds.
• Over-the-air (OTA) software updates delivered through SoraLift are subject to validation by the vehicle operator or manufacturer prior to deployment in production environments. SoraMinds accepts no liability for incidents arising from unvalidated OTA updates.
• SoraGuru’s guidance within SoraMobility is advisory and does not replace the judgement of qualified operators, traffic engineers, fleet managers, or vehicle operators. Final operational decisions remain with authorised human personnel.
• Vehicle-to-Everything (V2X) and Mobility-as-a-Service (MaaS) integrations may rely on third-party infrastructure, networks, and standards. SoraMinds accepts no liability for service degradation or failures arising from third-party V2X network issues.
• You are responsible for ensuring compliance with all applicable vehicle, transportation, road safety, and cybersecurity regulations in your jurisdiction, including but not limited to UNECE WP.29 regulations where applicable.
• SoraMinds accepts no liability for incidents, accidents, injuries, or losses arising from reliance on SoraMobility or SoraLift outputs in live operational transportation environments without appropriate human oversight and validation.

SoraRobolink and its solution SoraLiva are designed for use in healthcare, senior care, assisted living, hospitality, and service environments. If you access these Services in a capacity that involves vulnerable populations or protected health information (PHI), you additionally agree that:

• You are solely responsible for ensuring your use of SoraLiva and SoraRobolink complies with all applicable healthcare privacy laws, including but not limited to HIPAA (Health Insurance Portability and Accountability Act) in the United States and equivalent laws in other jurisdictions.
• SoraMinds does not act as a covered entity under HIPAA by default. If your deployment requires a Business Associate Agreement (BAA), you must contact SoraMinds at contact@soraminds.com prior to processing any PHI through the Services.
• SoraLiva is a companion and support tool powered by SoraCore and SoraGuru. It is not a medical device, does not provide clinical diagnosis, treatment recommendations, or emergency medical response, and must not be used as a substitute for professional medical or clinical care.
• Autonomous robotic features of SoraRobolink are supplemental to — not a replacement for — qualified human care professionals. Autonomous operation must be supervised by appropriately trained personnel in all care and healthcare environments. SoraMinds accepts no liability for incidents arising from unsupervised autonomous operation.
• SoraLiva’s evolution roadmap includes integration as the cognitive core of autonomous care robots. Robotic hardware deployments are subject to separate hardware agreements and applicable robotics safety regulations in your jurisdiction.
• You will implement appropriate technical and organisational safeguards to protect health, care, and personal data processed through SoraRobolink and SoraLiva, including encryption, access controls, and incident response procedures.
• SoraGuru’s companion persona within SoraRobolink is a proprietary AI personality configuration. Its behavioural characteristics, tone, and interaction patterns may not be replicated, trained upon, or deployed outside the licensed Service.

SoraScholar and its solution SoraLyric are designed for educational institutions, corporate training providers, professional development programmes, and individual learners. By using these Services, you agree that:

• Content and learning recommendations generated by SoraLyric and SoraGuru are produced by AI algorithms and do not constitute certified educational qualifications, professional licences, or accredited credentials of any kind.
• SoraMinds does not guarantee specific learning outcomes, skill acquisition rates, assessment results, or employment or career advancement outcomes from use of SoraScholar or SoraLyric.
• If deploying SoraScholar or SoraLyric for learners under the age of 18, you are responsible for obtaining appropriate parental or guardian consent and ensuring compliance with COPPA (Children’s Online Privacy Protection Act), FERPA (Family Educational Rights and Privacy Act), or equivalent laws in your jurisdiction. SoraMinds does not knowingly collect personal data from children under 13 without verified parental consent.
• Institutional licensees are responsible for ensuring that AI-generated content delivered through SoraLyric meets their curriculum standards, pedagogical requirements, and institutional quality assurance obligations.
• SoraGuru’s teacher and facilitator persona within SoraScholar is a proprietary AI configuration. Its interaction models, adaptive learning frameworks, and facilitation logic are protected intellectual property of SoraMinds.
• Social and collaborative learning features within SoraScholar involving user-generated content are subject to the content standards in Section 2. SoraMinds reserves the right to remove content that violates these standards.

SoraEcoXmall is SoraMinds’ fusion commerce platform — the only platform where SoraCore draws simultaneously from all four sibling platforms (SoraAnalyst, SoraMobility, SoraScholar, and SoraRobolink) — delivering SoraGuru as a unified service avatar across POS terminals, kiosks, and customer websites. Its solution SoraLoop is designed for high-touch service industries including restaurants, hotels, hospitals, and retail. By deploying or using these Services, you agree that:

• You are responsible for ensuring SoraLoop deployments comply with all applicable commerce, consumer protection, payment processing, and data privacy regulations in your jurisdiction, including PCI-DSS where payment card data is involved.
• SoraMinds does not process payments directly. Any payment integrations facilitated through SoraLoop are governed exclusively by the terms of the applicable third-party payment processor. SoraMinds accepts no liability for payment processing failures, chargebacks, disputes, or fraud.
• You are solely responsible for the accuracy of product, menu, pricing, reservation, and service information configured within your SoraLoop or SoraEcoXmall deployment. SoraMinds is not liable for customer disputes, regulatory penalties, or losses arising from inaccurate or incomplete information.
• SoraGuru’s service guidance within SoraLoop is advisory. Final transaction and service authority rests with the deploying business and its staff. SoraGuru does not constitute an agent of the deploying business.
• The standalone EcoXmall brand and domain are proprietary assets of SoraMinds LLC. Unauthorised use of the EcoXmall name, domain, or brand assets in any commercial context is strictly prohibited and may result in legal action.
• You will maintain appropriate technical and organisational data protection measures for all customer, guest, and patient data collected through SoraEcoXmall or SoraLoop deployments, including compliance with GDPR, CCPA, and any applicable industry-specific privacy regulations.
• Multi-industry deployments of SoraEcoXmall that involve health data (e.g., hospital kiosk deployments) are additionally subject to the health and care data obligations in Section 7 of these Terms.
• SoraGuru’s service assistant persona within SoraEcoXmall — including its brand voice configuration, interaction logic, and cross-platform intelligence fusion — is a proprietary system. You may configure SoraGuru’s persona for your brand context within the licensed parameters; you may not replicate, redistribute, or reverse-engineer the underlying persona architecture.

The Services may integrate with or link to third-party platforms, APIs, POS systems, healthcare systems, payment processors, vehicle networks, and other external services. You acknowledge that:

• SoraMinds does not control, endorse, or accept responsibility for third-party services, their availability, accuracy, or terms of use.
• Your use of third-party integrations is governed by the respective third party’s terms, policies, and data practices.
• SoraMinds provides API access to SoraCore and SoraGuru subject to separate API terms of service. Unauthorised API usage may result in immediate termination of access.

Payments made for SoraMinds Services, platform licences, consultancy engagements, or event access are governed by the specific agreement or invoice applicable to each engagement. Unless otherwise stated in writing:

• Platform and solution licence fees are non-refundable once access has been provisioned.
• Consultancy and professional services fees are non-refundable for work already performed.
• Event registrations are non-refundable unless the event is cancelled by SoraMinds.
• Any refund requests must be submitted to contact@soraminds.com within 14 days of the original payment date and are subject to SoraMinds’ sole discretion.

To the fullest extent permitted by applicable law, SoraMinds LLC, its affiliates, officers, directors, employees, agents, licensors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or in connection with:

• Your use of or inability to use any Platform, Solution, SoraCore, or SoraGuru service.
• Reliance on AI-generated content, avatar guidance, or data outputs from any SoraMinds Service.
• Autonomous robotic actions, mobility system outputs, or commerce transactions facilitated through SoraMinds Platforms.
• Unauthorised access to or alteration of your data or transmissions.
• Any conduct or content of third parties on or through the Services.

SoraMinds’ total aggregate liability to you for any and all claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to SoraMinds in the twelve months preceding the claim, or (b) USD $100.

The Services, including all Platforms, Solutions, SoraCore, and SoraGuru, are provided on an “as-is” and “as-available” basis. SoraMinds expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components.
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of AI-generated content from SoraCore or SoraGuru.
• Any warranty that SoraLiva constitutes a medical device or that SoraLift meets automotive functional safety certification requirements.

You agree to indemnify, defend, and hold harmless SoraMinds LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

• Your use of or access to the Services in violation of these Terms.
• Your violation of any applicable law, regulation, or third-party right.
• Any content you submit, post, or transmit through the Services.
• Your deployment of SoraMinds Platforms or Solutions to end users or customers.
• Any claim by a third party arising from your use of SoraGuru outputs as professional advice.

SoraMinds reserves the right to suspend or terminate your access to any or all Services immediately and without prior notice if:

• You breach any provision of these Terms.
• You engage in conduct that SoraMinds reasonably determines is harmful to other users, SoraMinds, or third parties.
• Required by applicable law or regulatory authority.

Upon termination, your right to use the Services ceases immediately. Sections 3 (Intellectual Property), 11 (Limitation of Liability), 12 (Disclaimer of Warranties), 13 (Indemnification), and 15 (Governing Law) survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Troy, Michigan, USA. By using the Services, you consent to personal jurisdiction in such courts and waive any objection based on venue or inconvenient forum.

SoraMinds reserves the right to modify these Terms at any time. We will notify users of material changes by posting an updated version on our website with a revised effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.

Your use of the Services is also governed by SoraMinds’ Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and processing of your data as described in the Privacy Policy, including data processed by SoraCore and SoraGuru. SoraMinds complies with applicable data protection laws including GDPR, CCPA, and HIPAA where applicable.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms, together with the Privacy Policy and any separate written agreements or licences, constitute the entire agreement between you and SoraMinds with respect to the Services and supersede all prior agreements, representations, and understandings.
